1. Definitions

In these Terms and Conditions:

2. Acceptance of Terms

By using this website or engaging our Services, you confirm that:

A binding engagement is formed when Globex Consulting provides a Scope Document and the Client confirms acceptance in writing (including by email).

3. Service Description

Globex Consulting provides business formation advisory services in Thailand, including but not limited to:

Services are available to individuals and entities intending to establish or formalise a business presence in Thailand. Services are provided in English. Formation filings are submitted to Thai government authorities and are subject to their requirements and timelines.

4. Client Responsibilities

You agree to:

Delays or errors arising from the provision of inaccurate or incomplete information by the Client are the Client's responsibility.

5. Intellectual Property

All content on this website — including text, design elements, and layout — is the property of Globex Consulting or its content providers. You may view and print materials for personal, non-commercial use only.

Documents produced for your Engagement (such as draft articles, memorandums, and explanatory notes) are provided for your use in connection with that Engagement. They may not be reproduced or adapted for use in other engagements without our consent.

6. Fees and Payment

Fees for each Engagement are set out in the Scope Document and are denominated in Thai Baht (฿). The fee confirmed in the Scope Document is the total fee for the work described. No additional charges apply for routine correspondence or clarification within the Engagement scope.

Payment is due as follows unless otherwise agreed in writing:

Government filing fees, notarisation costs, and third-party costs (such as overseas courier charges) are not included in our fees unless expressly stated. Such costs will be disclosed in advance.

6.1 Refund Policy

If an Engagement is cancelled by the Client after the initial deposit has been paid but before significant work has commenced, a partial refund may be considered at our discretion. Once name reservation or filing submissions have been made on the Client's behalf, the initial deposit is non-refundable.

7. Engagement Delivery and Scope

Timelines provided in Scope Documents are estimates based on typical processing times at the Department of Business Development. Delays caused by government authority procedures, public holidays, or circumstances outside our control do not constitute a breach of these Terms.

Changes to the Engagement scope requested by the Client after work has commenced may affect the fee and timeline. We will confirm any such changes in writing before proceeding.

8. Confidentiality

We treat all information provided by Clients in the course of an Engagement as confidential. We will not disclose it to third parties except where required for the performance of the Engagement (for example, submission to the DBD or coordination with overseas counsel) or where required by law.

9. Disclaimers

Our Services are provided on the basis of the information available at the time of the Engagement. We make no representations about:

Our advisory work is not a substitute for independent legal advice on matters of Thai law or for advice from a qualified tax adviser on tax implications of the structure formed. We recommend clients obtain such independent advice where the complexity of their situation warrants it.

10. Limitation of Liability

To the maximum extent permitted by applicable law, our aggregate liability to you for any claim arising from or in connection with an Engagement shall not exceed the total fees paid by you for that Engagement.

We are not liable for any indirect, consequential, or special losses, including loss of profit, loss of business, or loss of opportunity, arising from or in connection with our Services.

Nothing in these Terms limits liability for fraud or for any liability that cannot be excluded under applicable Thai law.

11. Indemnification

You agree to indemnify and hold Globex Consulting harmless from any claims, losses, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your provision of false or misleading information, or your unlawful use of our Services.

12. Termination

Either party may terminate an Engagement by written notice if the other party materially breaches these Terms and fails to remedy that breach within 14 days of written notice.

We may suspend or terminate an Engagement immediately if we become aware that you have provided materially false information or if continuing the Engagement would require us to act in a manner inconsistent with applicable law.

13. Governing Law and Disputes

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these Terms or an Engagement shall first be the subject of good-faith negotiation between the parties. If the dispute is not resolved within 30 days, it shall be submitted to the jurisdiction of the courts of Bangkok, Thailand.

14. General Provisions

15. Changes to These Terms

We may update these Terms from time to time. The revised version will be published on this page with an updated date. Changes do not affect Engagements already confirmed prior to the update date.
