A Software Venture with Two Overseas Co-Founders
The Situation
Two German co-founders wanted to establish a Thai operating company for a software product. One would be based in Bangkok, the other would remain in Europe. The question of how to structure the shareholding and what activities would fall under FBA restrictions was central to the planning.
The Work
We confirmed the activity classification under the FBA, advised on a shareholding structure that allowed both co-founders to participate with defined rights, drafted the memorandum and articles accordingly, and organised the founding meeting documentation. The absent co-founder executed documents by power of attorney.
The Outcome
Company registered in 17 working days. Both founders received the certificate and the post-formation note. The shareholder agreement was referenced in the articles, which avoided the need for a separate enforcement mechanism.

Case Note · Holding Structure
A Singapore-Based Investor Establishing a Thai Property Holding
The Situation
An investor based in Singapore wanted to hold Thai real property through a domestic entity while maintaining majority beneficial ownership. The FBA restrictions on foreign land ownership required a structure that was defensible and properly documented.
The Work
We coordinated with Singapore counsel on the holding entity structure, prepared a Thai operating company with a lawful shareholding arrangement, drafted a preference share provision to address economic rights, and produced inter-company documentation. The explanatory memorandum ran to twelve pages.
The Outcome
Structure formed within six weeks. The memorandum was subsequently used by the client's Singapore lawyers to understand the Thai component of the arrangement without requiring a separate Thai law opinion.
